Terms of Service

Effective September 17, 2026

These terms are an agreement between you and Beryli (“Beryli”, “we”, “us”) about your use of the Beryli service and the website at beryli.com (together, the “Service”). By signing up on the website, sending a text message to Beryli, or using the Service, you agree to these terms, the SMS Terms, and the Privacy Policy. If you do not agree, do not use the Service.

These terms include an arbitration agreement and class action waiver in section 12. Please read it.

1. Who may use the Service

You must be at least 18 years old, live in the United States, and be the owner or authorized user of the mobile phone number you sign up with. You may not use the Service if you are barred from doing so under applicable law.

2. What the Service is

Beryli is a savings assistant that works over text message. Once you connect the bank accounts and mailbox you choose, Beryli looks for recurring charges, free trials that are about to convert, price increases, duplicate subscriptions, and discounts, texts you what it finds, and answers your questions in plain language.

The Service is informational. Beryli tells you what it sees and suggests what you might do about it. It does not cancel subscriptions, make payments, contact merchants, or take any other action on your accounts or on your behalf. Any action you take is your own decision.

Beryli is not a financial adviser, bank, or lender. Nothing Beryli sends you is financial, legal, or tax advice. Beryli does not hold your money and does not have access to move it.

Beryli uses artificial intelligence and can be wrong. Findings are generated from the data available to Beryli and may be incomplete, out of date, or incorrect. Check with your bank or the merchant before you rely on anything Beryli tells you.

The Service is in a pilot. Features may change, be interrupted, or be withdrawn at any time. We may limit how many people can use the Service.

3. Your phone number is your account

There is no username or password. Your mobile phone number identifies you. Keep control of that number, and tell us at support@beryli.com if you lose it, change it, or think someone else is using it. Anyone who texts from your number is treated as you. If your number is reassigned by your carrier, tell us so we can close the account.

4. Connected services

To find savings, Beryli connects to third-party services on your instruction:

• Bank and card accounts are connected through Plaid. By connecting an account, you authorize Beryli to receive account, balance, and transaction information for that account from Plaid, and you agree to the Plaid End User Privacy Policy.
• Gmail mailboxes are connected through Google. By connecting a mailbox, you grant Beryli read-only access to it under Google’s terms and the Google API Services User Data Policy.

You confirm that you are entitled to connect each account and mailbox. You can disconnect at any time as described in the Privacy Policy. Plaid and Google are independent services with their own terms, and we are not responsible for them.

5. Text messaging

Beryli communicates by text message under the SMS Terms, which are part of these terms. You consent to receive recurring automated text messages from Beryli at the number you sign up with. Message frequency varies and message and data rates may apply. Reply STOP to cancel or HELP for help at any time. Wireless carriers are not liable for delayed or undelivered messages.

6. Fees

The Service is free during the pilot. If we introduce fees, we will tell you by text before any fee applies and you will have to agree before you are charged. We will never charge you without your express agreement.

7. Acceptable use

You agree not to:

• Use the Service for anyone other than yourself, or connect accounts or mailboxes you are not entitled to connect.
• Send Beryli content that is unlawful, abusive, or intended to disrupt the Service.
• Attempt to access the Service by any means other than the phone number you signed up with and the website.
• Probe, scan, overload, or reverse engineer the Service, or use it to build a competing product.

We may suspend or close your account if you break these rules.

8. Ownership

Beryli and its licensors own the Service, including its software, models, prompts, designs, and trademarks. We grant you a personal, non-transferable, revocable licence to use the Service under these terms. You own the information you provide and the information Beryli receives on your behalf from connected services. We use it only as the Privacy Policy describes, and we do not use it to train artificial intelligence models. If you send us feedback or suggestions, we may use them without obligation to you.

9. Third-party services

The Service depends on Twilio, Plaid, Google, artificial intelligence model providers, and hosting providers, and may link to merchants and other websites. We do not control those services and are not responsible for their availability, accuracy, or conduct. Your dealings with any merchant, bank, or other third party are between you and them.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, BERYLI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BERYLI DOES NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL FIND ANY SAVINGS OR THAT ANY SAVINGS ESTIMATE WILL BE REALIZED.

11. Limitation of liability and indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, BERYLI AND ITS FOUNDERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF MONEY, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. SOME STATES DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU IN FULL.

You agree to defend, indemnify, and hold Beryli harmless from any claim, loss, or expense, including reasonable legal fees, arising from your breach of these terms, your misuse of the Service, or your violation of any law or third-party right.

12. Dispute resolution, arbitration, and class action waiver

Informal resolution first. Before starting any formal proceeding, you agree to email support@beryli.com with a description of the dispute and to work with us in good faith for 30 days to resolve it.

Binding arbitration. If the dispute is not resolved within 30 days, you and Beryli agree that it will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and the Federal Arbitration Act, rather than in court. The arbitrator may award the same relief a court could award to you individually. Either party may instead bring an individual claim in small claims court, and either party may seek an injunction in court to protect intellectual property.

Class action waiver. YOU AND BERYLI AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims of more than one person.

Fees. JAMS rules govern arbitration fees. If the arbitrator finds the fees prohibitive for you, Beryli will pay them.

Opt-out. You may opt out of this arbitration agreement by emailing support@beryli.com within 30 days of first agreeing to these terms, with the phone number you signed up with and a statement that you opt out of arbitration. Opting out of arbitration does not opt you out of the class action waiver.

13. Termination

You may stop using the Service at any time by replying STOP or emailing us. We may suspend or end your access at any time, with or without notice, including if you breach these terms or the Service is discontinued. Sections 8 and 10 through 15 survive termination.

14. Changes to these terms

We may change these terms. If a change is material, we will text you before it takes effect. Continued use of the Service after the effective date means you accept the change. The effective date at the top shows when these terms were last updated.

15. General

These terms are governed by the laws of the State of California, without regard to conflict of law rules. Any court proceeding not subject to arbitration will take place in the state or federal courts in San Francisco, California. If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a term is not a waiver. You may not assign these terms; we may assign them to a successor. These terms, the SMS Terms, and the Privacy Policy are the entire agreement between you and Beryli about the Service.
